These Terms of Service (“Terms”) govern your access to and use of the Hardwood Leads website and services provided by Hardwood Leads (“Hardwood Leads,” “we,” “us,” or “our”).

By accessing our website, submitting information through our website, purchasing services from Hardwood Leads, or otherwise using our services, you agree to these Terms.

If you enter into a separate written service agreement with Hardwood Leads, the terms of that agreement will control in the event of a conflict with these Terms.


1. About Hardwood Leads

Hardwood Leads provides marketing, lead generation, advertising management, lead follow-up, lead qualification, appointment booking, automation, and related services primarily for residential hardwood flooring companies.

Our services may include paid advertising campaigns, lead-generation systems, automated SMS and email communications, lead qualification workflows, calendar booking, appointment reminders, follow-up campaigns, lead reactivation, reporting, and related marketing services.

The specific services provided to each client may vary and will be determined by the services purchased and any applicable service agreement.



2. Client Responsibilities

Clients are responsible for providing accurate and current information regarding their business, services, service area, availability, project requirements, qualification criteria, and other information reasonably necessary for Hardwood Leads to provide its services.

Clients remain solely responsible for their own business operations, including:

Performing estimates and inspections;

Determining project pricing;

Preparing and delivering proposals or contracts;

Communicating with prospective and existing customers when required;

Performing contracted flooring work;

Maintaining appropriate licenses, permits, and insurance;

Complying with laws and regulations applicable to their business; and

Determining whether to accept or perform work for any prospective customer.

Hardwood Leads does not perform flooring services and is not a party to agreements between a client and the client's customers.



3. Lead Generation and Advertising Services

Hardwood Leads may create, manage, or assist with advertising campaigns designed to generate homeowner inquiries and potential flooring opportunities.

Campaign strategy may include advertising creative, targeting, landing pages, forms, messaging, lead follow-up, qualification workflows, calendar booking, and other marketing components.

Hardwood Leads may modify campaign strategy, advertising creative, targeting, messaging, workflows, qualification processes, and other campaign components when reasonably necessary to operate, test, or improve the services.



4. Lead Qualification

Hardwood Leads may qualify prospective customers according to criteria established with the client.

Qualification criteria may include factors such as:

Geographic location or service area; Type of flooring project; Approximate project size; Requested service; Project timeline; Property or project details; and Other criteria established with the client.

A person being classified as a “qualified lead,” “qualified opportunity,” or similar term means only that the person satisfied the applicable qualification criteria based on the information available at that time.

Qualification does not guarantee that the person will attend an appointment, accept a proposal, purchase services, qualify financially, or become a customer.



5. Appointment Booking

Hardwood Leads may provide prospective customers with the ability to schedule estimates or appointments directly onto a client's designated calendar.

A booked estimate or appointment does not guarantee attendance or a resulting sale.

Homeowners may cancel, reschedule, fail to attend, provide inaccurate information, change their plans, select another contractor, or otherwise decide not to proceed.

Hardwood Leads may use reminders, confirmations, follow-up messages, and rescheduling systems designed to improve appointment attendance, but does not guarantee attendance.



6. No Guarantee of Results

Marketing and advertising results vary.

Unless expressly stated in a separate written agreement signed by Hardwood Leads, we do not guarantee any specific number of:

Leads; Qualified leads; Appointments; Booked estimates; Attended estimates; Proposals; Customers; Flooring projects; Sales; Revenue; Profit; or Return on advertising spend.

Results may be affected by factors outside Hardwood Leads' control, including market conditions, location, competition, seasonality, advertising costs, homeowner demand, the client's reputation, reviews, pricing, availability, service quality, sales process, estimate process, follow-up practices, and ability to close opportunities.

Clients remain responsible for converting opportunities into paying customers.



7. Advertising Spend

Unless otherwise specified in a separate written agreement, advertising spend is separate from Hardwood Leads' management or service fees and is the client's responsibility.

Advertising budgets may be paid directly to advertising platforms or handled according to arrangements disclosed to the client.

Advertising costs may fluctuate and are controlled in part by third-party advertising platforms and market conditions.

Hardwood Leads does not guarantee any particular advertising cost, cost per lead, cost per appointment, or advertising performance.



8. Third-Party Platforms and Services

Hardwood Leads may use third-party services to provide its services, including advertising platforms, customer relationship management systems, communication providers, calendar services, analytics services, automation software, hosting providers, and other technology providers.

These may include platforms such as Meta and other third-party providers.

Third-party services operate under their own terms, policies, systems, and availability.

Hardwood Leads is not responsible for outages, account restrictions, advertising disapprovals, algorithm changes, platform policy changes, service interruptions, data loss, suspensions, pricing changes, or other actions taken by third-party providers that are outside our reasonable control.



9. SMS, Email, and Electronic Communications

Hardwood Leads' services may involve communications by SMS/text message, email, telephone, voicemail, and other electronic methods.

Clients are responsible for ensuring that customer information, lead lists, contact information, and other data they provide to Hardwood Leads may lawfully be used for the intended purpose.

Clients must not knowingly provide Hardwood Leads with contact information obtained unlawfully or instruct Hardwood Leads to send communications that violate applicable law.

Hardwood Leads and its clients are each responsible for complying with applicable laws and regulations governing their respective activities, including applicable advertising, privacy, consumer-protection, telemarketing, and electronic-communications requirements.



10. Fees and Payment

Fees, billing schedules, setup costs, service fees, advertising budgets, and other payment terms applicable to paid Hardwood Leads services will be disclosed before services begin or specified in a separate service agreement, order form, proposal, invoice, or other written documentation.

Clients agree to pay all authorized charges according to the applicable billing schedule.

Failure to make required payments may result in suspension or termination of services.



11. Service Period and Cancellation

Certain Hardwood Leads services may include an initial setup, launch, and optimization period followed by month-to-month service.

The specific service term, cancellation requirements, notice requirements, payment obligations, and other engagement conditions applicable to a client will be stated in the client's applicable service agreement or order documentation.

Cancellation does not relieve a client of payment obligations already incurred before the effective date of cancellation.



12. Account, Data, and Asset Ownership

Unless otherwise stated in a separate written agreement, clients retain ownership of their existing business names, trademarks, logos, customer information, and materials supplied by the client.

Ownership and access rights relating to advertising accounts, websites, domains, phone numbers, CRM accounts, campaign assets, creative materials, automation systems, software configurations, landing pages, and other assets may be further defined in the applicable service agreement.

Hardwood Leads retains ownership of its pre-existing intellectual property, methodologies, processes, systems, templates, workflows, know-how, software configurations, and other proprietary materials.

Nothing in these Terms transfers ownership of Hardwood Leads' underlying systems, processes, methodologies, or intellectual property to a client.



13. Confidentiality and Business Information

During the course of providing services, Hardwood Leads and its clients may exchange non-public business information.

Each party agrees to use reasonable care when handling confidential information received from the other party and to use such information only as reasonably necessary in connection with the services, except where disclosure is required by law or authorized by the other party.



14. Website Use

You may use the Hardwood Leads website only for lawful purposes.

You may not knowingly:

Attempt to gain unauthorized access to the website or related systems;

Interfere with the operation or security of the website;

Use the website for fraudulent, deceptive, abusive, or unlawful purposes;

Introduce malicious software or code; Misrepresent your identity or affiliation; or

Use the website in a manner that infringes the rights of Hardwood Leads or another person or organization.



15. Intellectual Property

The Hardwood Leads name, branding, website design, written content, graphics, processes, systems, and other original materials made available through our website or services may be protected by copyright, trademark, and other intellectual-property laws.

Except as expressly authorized, you may not reproduce, distribute, sell, license, copy, or commercially exploit Hardwood Leads' proprietary materials without prior written permission.

Nothing in these Terms restricts a client's ownership of materials the client independently owned before working with Hardwood Leads.



16. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Hardwood Leads website and services are provided on an “as available” basis.

Hardwood Leads does not warrant that the website, advertising platforms, communications systems, integrations, software, or third-party services will operate without interruption or error.

Except for any express obligations contained in a separate written agreement, Hardwood Leads disclaims warranties to the fullest extent permitted by applicable law.



17. Limitation of Liability

To the fullest extent permitted by applicable law, Hardwood Leads will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or related to the website or services, including lost profits, lost revenue, lost business opportunities, loss of goodwill, or loss of data.

Hardwood Leads is not responsible for a client's inability to convert leads or estimates into customers, homeowner decisions, customer disputes, work performed by a client, or losses caused by third-party platforms or services outside Hardwood Leads' reasonable control.

Any additional limitations of liability applicable to paid client services may be established in the applicable service agreement.

Some jurisdictions do not permit certain limitations or exclusions of liability, so some of the limitations above may not apply to you.



18. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Hardwood Leads and its owners, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from or related to:

Your violation of these Terms; Your violation of applicable law; Information, materials, customer data, or instructions you provide to Hardwood Leads; Your products or services; Work performed for your customers; or Your infringement of another person's rights.

Any additional indemnification obligations applicable to paid client services may be established in a separate written agreement.



19. Suspension and Termination

Hardwood Leads may suspend or terminate services where reasonably necessary because of nonpayment, unlawful activity, misuse of the services, material violation of these Terms, violation of an applicable service agreement, or restrictions imposed by third-party platforms.

Client termination and cancellation rights for paid services are governed by the applicable service agreement or order documentation.

Provisions that by their nature should survive termination, including provisions concerning payment obligations, intellectual property, limitations of liability, and indemnification, will survive to the extent applicable.



20. Changes to These Terms

We may update these Terms periodically to reflect changes to our services, business practices, or legal requirements.

When these Terms are updated, the revised version will be posted on this page and the “Last Updated” date will be changed.

Your continued use of the website or services after updated Terms become effective constitutes acceptance of those updated Terms to the extent permitted by applicable law.



21. Privacy

Our collection and use of personal information is described in our Privacy Policy.

By using our website or services, you acknowledge that you have reviewed our Privacy Policy.



22. Governing Law

These Terms will be governed by the laws applicable to Hardwood Leads and, where a separate written service agreement exists, the governing-law provisions contained in that agreement.

Any specific venue, jurisdiction, arbitration, or dispute-resolution requirements applicable to a paid client relationship should be stated in the applicable service agreement.



23. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreement, order form, proposal, or other written agreement between Hardwood Leads and a client, constitute the applicable agreement concerning the subject matter they address.

If a separate written service agreement conflicts with these Terms, the separate written service agreement will control with respect to that conflict.



24. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
